Terms and conditions (GTC)

1. Scope
These General Terms and Conditions (GTC) apply to all orders placed via the online shop shop.migal.co of MIGAL.CO GmbH (hereinafter “MIGAL.CO”).
A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or profession. A trader is a natural or legal person or a partnership with legal capacity acting in the exercise of their trade, business or profession when entering into a legal transaction.
2. Contracting party
The purchase contract is concluded with MIGAL.CO GmbH, Wattstraße 2, 94405 Landau/Isar, Germany, represented by the managing directors Dipl.-Ing. Martin Erl and Ing. Robert Lahnsteiner, commercial register: Amtsgericht Landshut, HRB 5108, VAT ID: DE 812 830 895.
3. Conclusion of contract
3.1 The presentation of the products in the online shop does not constitute a legally binding offer but an invitation to order.
3.2 By clicking the button “Order with obligation to pay” you place a binding order for the goods listed on the order page. The purchase contract is concluded when we accept your order by an order confirmation sent by e-mail immediately after receipt of your order.
3.3 The contract language is German. You can access, save and print these GTC at any time at shop.migal.co/en/terms.
3.4 By way of derogation from clause 3.2, the following applies to traders choosing the payment method “Invoice”: the e-mail sent after the order has been placed only confirms its receipt. The purchase contract is only concluded with our separate order confirmation by e-mail, in which we specify the payment terms (clause 7.5).
4. Right of withdrawal
4.1 If you are a consumer (i.e. a natural person placing the order for purposes that are outside your trade, business or profession), you have a right of withdrawal in accordance with the statutory provisions.
4.2 If you exercise your right of withdrawal under clause 4.1 as a consumer, you bear the regular costs of returning the goods.

You have the right to withdraw from this contract within 14 days without giving any reason.
The withdrawal period will expire after 14 days from the day on which you acquire, or a third party other than the carrier and indicated by you acquires, physical possession of the goods.
To exercise the right of withdrawal, you must inform us (MIGAL.CO GmbH, Wattstraße 2, 94405 Landau/Isar, Germany, phone +49 9951 69059-0, e-mail info@migal.co) of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post or an e-mail). You may use the attached model withdrawal form, but it is not obligatory.
You may also exercise your right of withdrawal online via the withdrawal function “Withdraw from contract” at https://shop.migal.co/en/withdraw-contract. If you use this online function, we will communicate to you an acknowledgement of receipt of such a withdrawal on a durable medium (by e-mail) without delay, including the content of the withdrawal declaration and the date and time of its receipt. You may also electronically fill in and submit the model withdrawal form or any other unequivocal statement on our website at https://shop.migal.co/en/withdraw-contract. If you use this option, we will communicate to you an acknowledgement of receipt of such a withdrawal (by e-mail) without delay.
To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
Effects of withdrawal
If you withdraw from this contract, we shall reimburse to you all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement. We may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is the earliest.
You shall send back the goods or hand them over to MIGAL.CO GmbH, Wattstraße 2, 94405 Landau/Isar, Germany, without undue delay and in any event not later than 14 days from the day on which you communicate your withdrawal from this contract to us. The deadline is met if you send back the goods before the period of 14 days has expired.
You will have to bear the direct cost of returning the goods.
You are only liable for any diminished value of the goods resulting from the handling other than what is necessary to establish the nature, characteristics and functioning of the goods.

5. Prices and shipping costs
5.1 The prices stated on the product pages include statutory VAT and other price components.
5.2 In addition to the stated prices we charge shipping costs per parcel (including packaging): Germany € 9.16, Austria € 23.12, other member states of the European Union € 31.77, each including VAT. A parcel holds up to 31.5 kg; spools and TIG rods are packed separately. The shipping costs are clearly stated in the basket and on the order page before you place your order. No further taxes or costs are incurred.
5.3 Deliveries to traders established in another member state of the European Union who provide a valid VAT identification number are invoiced, where the statutory requirements are met, as a tax-exempt intra-Community supply without German VAT. In this case, too, the online shop shows prices including German VAT; the amount in our order confirmation and invoice is binding.
6. Delivery
6.1 Delivery is made within Germany, to Austria and to the other member states of the European Union by parcel service.
6.2 Items marked “in stock” are usually dispatched within 3 working days of the conclusion of the contract, or within 3 working days of receipt of payment when paying in advance. For items marked “on request / short delivery time” we state the delivery date in the order confirmation.
7. Payment
7.1 Payment is made either in advance (bank transfer) or by online payment via our payment service provider Mollie B.V., Keizersgracht 126, 1015 CW Amsterdam, Netherlands. The online payment methods available are credit card, PayPal, Klarna, Pay by Bank and eps. Which of these methods are offered in a particular case may depend on the destination country and the order value; the selection on Mollie's payment page applies. Traders may additionally pay by invoice (clauses 7.4 and 7.5). Online payment is not available to traders established outside Germany.
7.2 If you choose payment in advance, we state our bank details in the order confirmation and deliver the goods after receipt of payment.
7.3 If you choose online payment, you will be redirected to Mollie's secure payment page after submitting your order. Your account is charged when the payment process is completed.
7.4 Payment by invoice is only available to traders (section 14 BGB). Invoices are payable within 30 days of the invoice date without deduction.
7.5 We reserve the right to require prepayment instead of payment by invoice for first orders and depending on a credit check. In this case we state our bank details in the order confirmation; the order confirmation then constitutes an offer to deliver against prepayment, which you accept by making the payment. We deliver the goods after receipt of payment.
8. Retention of title
The goods remain our property until full payment has been made.
9. Warranty for defects
9.1 MIGAL.CO is liable for material defects in accordance with the applicable statutory provisions, in particular sections 434 et seq. of the German Civil Code (BGB).
9.2 An additional guarantee for goods delivered by MIGAL.CO exists only if it has been expressly given in the order confirmation for the respective item.
10. Dispute resolution
We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
